4. Client Responsibilities

As a client, you agree to:

5. Payment Terms

5.1 Pricing

All prices are quoted in Indian Rupees (INR) unless otherwise specified. Prices are subject to change, but changes will not affect projects already under contract.

5.2 Payment Schedule

Payment terms will be specified in your service agreement. Typically, we require:

• An initial deposit to begin work
• Milestone payments during project development
• Final payment upon project completion and delivery

5.3 Late Payments

Late payments may result in project delays or suspension of services. We reserve the right to charge interest on overdue amounts.

6. Intellectual Property

You retain ownership of all content, materials, and intellectual property you provide to us. By providing content, you grant us a license to use it solely for the purpose of providing our services.

6.2 Deliverables

Upon full payment, ownership of the final deliverables will transfer to you as specified in the service agreement. We retain the right to use completed projects in our portfolio and marketing materials unless otherwise agreed.

6.3 Our Intellectual Property

All pre-existing tools, frameworks, code libraries, and methodologies remain our intellectual property. We grant you a license to use deliverables as specified in the service agreement.

7. Project Timelines

Project timelines are estimates and may be affected by factors beyond our control, including client response times, scope changes, and technical complexities. We will communicate any delays promptly and work to minimize their impact.

8. Revisions and Changes

Minor revisions are typically included in our service packages. Significant changes or scope expansions may require additional time and cost, which will be discussed and agreed upon before implementation.

9. Cancellation and Refunds

9.1 Client Cancellation

If you cancel a project:

• You are responsible for payment for all work completed up to the cancellation date
• Deposits are non-refundable unless otherwise specified
• We retain ownership of all work completed until full payment is received

9.2 Our Cancellation

We reserve the right to cancel or refuse service if:

• Payment is not received as agreed
• You breach these Terms or the service agreement
• We determine the project is outside our expertise or capabilities

10. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However, we do not guarantee specific results, rankings, or business outcomes. Our services are provided "as is" without warranties of any kind, express or implied.

11. Limitation of Liability

To the maximum extent permitted by law, Dexnora shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

12. Confidentiality

We will maintain the confidentiality of all proprietary information you share with us and will not disclose it to third parties except as necessary to provide our services or as required by law.

13. Third-Party Services

Our services may integrate with or use third-party services, platforms, or tools. We are not responsible for the availability, functionality, or terms of service of these third-party services.

14. Website Usage

14.1 Acceptable Use

You agree not to:

• Use our website for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our website or services
• Transmit any viruses or malicious code
• Copy, modify, or distribute our website content without permission

15. Indemnification

Any disputes arising from these Terms or our services will first be addressed through good faith negotiation. If resolution cannot be reached, disputes will be subject to the exclusive jurisdiction of the courts in Kozhikode, Kerala, India.

These Terms, together with any service agreements, constitute the entire agreement between you and Dexnora regarding our services, superseding any prior agreements.
